StudioCo Website Terms of Use and Client Terms and Conditions

By accessing or using the StudioCo website (the “Website”) or engaging StudioCo (“we,” “us,” “our”) for any services, you (“User” or “Client”) agree to comply with these Terms and Conditions (“Terms”). If you do not agree to these Terms, you must refrain from using the Website or our services.

1. Website Terms of Use

1.1 Permitted Use
The Website is intended for personal and informational use only. Users agree not to:Use the Website for any commercial purposes without our prior written consent.Attempt to reverse-engineer, scrape, or extract data from the Website without authorization.

2.2 Limited License Users are granted a limited, non-exclusive, revocable license to access and use the Website for personal, non-commercial purposes. Users may not:Modify, reproduce, distribute, or create derivative works based on the Website content.Use content for commercial purposes without explicit written consent from StudioCo.

2.3 User-Generated Content By submitting content to the Website, you grant StudioCo a worldwide, royalty-free, perpetual license to use, reproduce, modify, and distribute your content for any purpose. You represent that your content does not violate any third-party rights.

3. Disclaimer of Warranties The Website is provided “as is” and “as available.” StudioCo makes no warranties, express or implied, regarding the Website’s functionality, accuracy, or reliability. StudioCo does not guarantee uninterrupted or error-free access.

4. Limitation of Liability StudioCo disclaims all liability for any direct, indirect, incidental, punitive, or consequential damages arising from your use of the Website, its content, or any third-party links. StudioCo’s total liability shall not exceed the amount paid by you to StudioCo, if any.

5. Governing LawThese Website Terms are governed by the laws of Scotland. Any disputes shall be resolved exclusively in the courts of Scotland.
6. Changes to Website TermsStudioCo reserves the right to modify these Website Terms at any time. Updates will take effect upon posting. Continued use of the Website constitutes acceptance of the updated Terms.

Client Terms and Conditions

These terms govern all services provided by StudioCo. By engaging StudioCo, you agree to the following terms:

1. General Application
These Terms apply to all services provided by StudioCo, regardless of the specific nature of the project. By signing or otherwise agreeing to these Terms, the Client acknowledges and accepts them as binding for any services rendered by StudioCo.

2. Scope of Services
StudioCo agrees to provide creative services, including but not limited to branding, web design, UX/UI design, graphic design, and other related deliverables as agreed with the Client. Specific project details, including deliverables and timelines, will be outlined in separate project briefs, proposals, or statements of work, which are incorporated by reference into these Terms.

3. Payment Terms

3.1 Fees and Payments
Fees for services will be detailed in the project-specific agreement, proposal, or invoice.Payment schedules must be adhered to as stated in the relevant documentation.

3.2 Payment Methods
Payments shall be made via bank transfer, invoice, cryptocurrency or other agreed methods as specified in invoices.

3.3 Late Payments
Payments not made within 14 days of the due date will incur a late fee of 5% per month on the outstanding balance.

3.4 Non-Refundable Deposits
Deposits or retainers paid to secure StudioCo’s services are non-refundable unless agreed otherwise in writing.

3.5 Taxes and Currency
The Client is responsible for any applicable taxes, including VAT or sales tax. All payments are to be made in USD or GBP unless otherwise agreed.

4. Revisions and Approvals

4.1 Revisions
The Client is entitled to three rounds of revisions for each deliverable. Additional revisions will be charged at StudioCo’s hourly rate unless on a subscription plan where revisions are as needed.

4.2 Final Approval
Deliverables will be deemed accepted within seven (7) days of delivery unless written notice of deficiencies is provided by the Client.

5. Intellectual Property Rights

5.1 Ownership and Licensing
Ownership of final deliverables is transferred to the Client upon full payment of all fees.StudioCo retains the right to showcase completed work in portfolios and promotional materials unless otherwise agreed in writing.

5.2 Third-Party Assets
If third-party assets (e.g., fonts, stock images) are used, the Client will be provided with license details. The Client is responsible for adhering to these license terms.

6. Confidentiality
StudioCo and the Client agree to keep all project-related information confidential, except where disclosure is required by law or necessary for the performance of the services.

7. Termination
7.1 Termination by ClientThe Client may terminate the agreement at any time by providing written notice. StudioCo will invoice for all work completed up to the date of termination, including any non-cancellable commitments.

Termination by StudioCo
StudioCo reserves the right to terminate the agreement if the Client breaches these Terms, including failure to make timely payments.

8. Limitation of Liability
StudioCo’s total liability for any claims, damages, or losses arising from its services is limited to the amount paid by the Client for the specific project. StudioCo is not liable for indirect, incidental, or consequential damages.

9. Dispute Resolution
Disputes shall first be resolved through good-faith negotiations. If unresolved, disputes will be subject to mediation. If mediation fails, the matter will be settled in the courts of Scotland.

10. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. Entire Agreement
These Terms constitute the entire agreement between the Client and StudioCo, superseding all prior agreements, understandings, or representations. Any amendments must be in writing and signed by both parties.
